1. Services Offered

Theme Nepal provides professional IT services including, but not limited to:

  • Search Engine Optimization (SEO) and Digital Marketing
  • Web Hosting and Domain Registration Management

All services are provided subject to specific service-level agreements (SLAs), project scopes, and project budgets agreed upon in writing between Theme Nepal and the client.

2. Client Responsibilities & Content

To ensure the timely completion of your project within the agreed timeframe and budget, you agree to:

  • Provide all required business assets, copywriting, logo assets, images, and text content in a timely manner.
  • Respond promptly to requests for layout approvals, design wireframes, revisions, and milestone signs-offs.
  • Warrant that all content provided to Theme Nepal does not violate third-party copyright laws, trademarks, or international intellectual property rights.

Theme Nepal is not responsible for any project delays resulting from a failure to provide necessary assets or feedback in a reasonable timeframe.

3. Revisions, Project Duration & Costs

  • Scope & Estimates: The duration and financial costing of a project vary depending on the complexity of the specific website or app configuration. All cost quotes and timelines are outlined in your individual project contract.
  • Revisions: We allow a structured number of revisions at various stages of the mockups, wireframes, and design phases to ensure the layout matches your business goals. Major deviations from the original agreed-upon scope may incur additional billing charges.
  • Project Launch: Final deployment, domain pointing, and publishing of the source code or platform will only occur once the outstanding project balance is cleared in full.

4. Payment Terms & Warranty Support

  • Payments: Unless otherwise negotiated, milestones or advances must be paid in accordance with the timelines provided in your project invoice.
  • Warranty & Support: Theme Nepal provides a technical post-launch support and warranty period to fix underlying site bugs or system errors originating from our development code. Ongoing maintenance or new feature integrations outside the initial contract scope require a separate monthly maintenance retainer agreement.

5. Intellectual Property Ownership

Upon receiving full and final payment for completed services:

  • The client retains legal ownership of the visual front-end layout, copywriting, and custom client assets published on the website.
  • Theme Nepal retains all ownership rights over pre-existing code blocks, basic themes, core structures, internal modular libraries, or proprietary development frameworks utilized to compile the end product.

6. Limitation of Liability

To the maximum extent permitted by applicable laws in Nepal, Theme Nepal, its developers, and directors shall not be held liable for any direct, indirect, incidental, or consequential damages resulting from:

  • Server down-times, website hacking, malware incidents, or hosting disruptions caused by third-party hosting companies.
  • Drops in search engine result rankings (SEO) caused by updates to search engine core algorithms.
  • Financial losses or loss of data encountered on e-commerce platforms or applications built by us.

7. Termination of Services

Either party may terminate an ongoing service agreement under the following conditions:

  • By providing written notice if the other party breaches a core aspect of the project contract and fails to remedy the breach within 14 days.
  • Upon termination, the client is legally liable to clear outstanding balances proportional to the amount of milestone design or development work executed up to the termination date.

8. Governing Law

These Terms and Conditions shall be governed by, interpreted, and enforced in accordance with the laws of the Government of Nepal. Any disputes arising directly from your use of this platform or our agency services shall be subject to the exclusive jurisdiction of the courts located in Kathmandu, Nepal.
